Legal Information

This Contract (the "Agreement" / the "Terms") is made and entered into on between ("Service Provider") and student / website visitor / Candidate / student (the “Client”).

PROGRAM DELIVERABLES

Community access that requires monthly subscription.

Price lock as long as the Client continues their membership with the community.

UNDERSTANDINGS

The Service Provider's Mentorship program is intended to provide mentorship as well as offer psychological support and encouragement to the Client. The program is designed to enhance the Client's skills and promote their success in this area. It is important to note, however, that the information and guidance provided by the Service Provider should not be considered professional, legal, or financial advice. The Client acknowledges that they are solely responsible for making their own decisions and should seek the advice of qualified professionals as necessary. The Service Provider assumes no liability for any actions taken by the Client based on the information or advice provided in the mentorship program.

This PROGRAM DELIVERABLES are offered only if the Client becomes a paid member of the community. Until their payment is successfully processed, this agreement is void. The community has a subscription to get access to the PROGRAM DELIVERABLES.

The Client acknowledges that upon the conclusion of the mentorship program (duration: mentioned in program deliverables), it is possible that not all training topics/material may be fully covered, and that additional time may be required to complete all materials. Any supplementary time and cost associated with the completion of training materials beyond the program duration and price is excluded from this agreement. In a situation where the Client is paying a monthly subscription for the above deliverables, and had failed to complete all training material within the duration, any additional or remaining training material will continue only after successful payment of the next month has been received. 

The Client is responsible for attending the coaching/Mentorship calls at the times communicated by the Service Provider. It is the Client's responsibility to ensure that they attend all coaching calls and to notify the Service Provider in advance if they are unable to attend. The Service Provider reserves the right to reschedule coaching calls at their discretion and to make alternative arrangements with the Client, subject to their availability.

If the Client misses more than 2 mentorship sessions the Service Provider may invoke the acceleration clause and may also revoke all access given to the Client, such as but not limited to the communications channel, reading material, live sessions, mentorship, and all the program deliverables.

The client agrees to keep the information in the contract confidential such as but not limited to Fee, deliverables etc. This agreement may vary between student to student depending on their requirements, resources and their abilities.  

The Client acknowledges that there may be additional costs during the training program for access to 3rd party services that facilitate the training/mentorship, including but not limited to web hosting services, deployment and database services, development tools, electronic devices, and access to internet/wifi. 

The program is not affiliated with any university. 

Sharing account details with third parties is not allowed. Clients are responsible for keeping their account details confidential.

The Client acknowledges that any and all code and project materials submitted (by the Client) during the mentorship program will become the property of the Service Provider. The Service Provider may use, modify, and distribute such code and project materials in any manner, with or without monetary intent, without any obligation to the Client. The Client represents and warrants that they have the right to grant such a license to the Service Provider, and that the code and project materials do not infringe upon any third-party rights.

The Client hereby indemnifies and holds the Service Provider harmless from any and all claims, damages, or expenses arising out of or in connection with the use of such code and project materials.

The Service Provider hereby discloses to the Client that any and all past student performance is for illustrative purposes only and is not to be taken as an indication or guarantee of any particular result or outcome.

The Client understands and acknowledges that there are various factors beyond the control of the Service Provider that may impact the Client's performance or results, and accordingly, the Service Provider makes no warranty or representation whatsoever as to the Client's potential success or failure as a result of the services provided under this
Agreement

All program content, material, or services provided by the Service Provider is for personal use only and may not be shared, recorded, sold, taught, or disclosed without express written consent.

The Client acknowledges that if this mentorship program was offered for free then the PROGRAM DELIVERABLES are not guaranteed. The Service provider has complete freedom over whether they choose to deliver specific or all deliverables mentioned in this agreement. They may modify, skip, or discontinue any of the services at any time without prior notice.

The Client acknowledges that it is the intellectual property of the Service Provider.

Any breach of the Service Provider's policies regarding the usage of program content will result in the immediate termination of the Client's enrollment and may invoke an acceleration clause without refund.

The Client acknowledges that the Service Provider's policies are in place to protect the intellectual property of the mentorship content.

ACCELERATION CLAUSE 

If the Client violates any of the terms of this agreement, the Service Provider may invoke an acceleration clause that will automatically require all outstanding fees or charges related to the program to become immediately due and payable on the effective date of termination, regardless of any previously agreed-upon payment terms. This acceleration of payments will be automatic upon violation of the agreement and will remain in effect until all outstanding fees or charges are paid in full. This provision is intended to protect the interests of the Service Provider and to ensure that all payments are made in a timely manner.

FEES AND PAYMENT TERMS

The Client agrees to pay the full program amount before the program begins. If the payment is made in monthly installments, the first payment is due at the beginning of the month when the program commences. If the program starts on a day other than the first day of the month, the start date will be considered the first day of the month for payment purposes. If the Client fails to make installment payments in a timely manner, it will be considered a breach of this agreement, and the Service Provider may take necessary actions against the Client. These actions may include but are not limited to, using a collection agency or attorney to obtain payment from the Client, which may adversely affect the Client’s credit rating. The Client is also responsible for reimbursing the Service Provider for all reasonable fees (including legal and collection agency fees) incurred in collecting any outstanding amounts owed. Furthermore, a 30% fee (based on the total contract amount) for damages caused to the Service Provider will be assessed. Please note that all payments made in connection with this agreement are non-refundable, and all sales are final.

NON-SOLICITATION OF CLIENTS

Throughout the duration of the mentorship program and for a period of 12 months following the conclusion of the mentorship, the Client agrees not to engage, either directly or on behalf of any other individual or entity, in any activities that may solicit, entice, or attempt to persuade any Client or Potential Client of the services that The Service provider offers, to terminate, reduce, or significantly modify their association with the service provider. in a manner detrimental to the Service Provider. and its existing relationships with Clients or Potential Clients. Furthermore, the Client shall not engage in, provide, or attempt to provide services that are substantially similar to the Services offered by the Service Provider to any Clients or potential Clients. It's important to note that this provision does not restrict Clients from offering or delivering services of a substantially similar nature to individuals or entities that are not Clients or Potential Clients of the Service Provider. 

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding of the Parties and supersedes all prior negotiations, understandings, and agreements between the Parties, whether written or oral. No modification of this Agreement will be binding unless in writing and signed by both Parties.

CONFIDENTIALITY

This Confidentiality Clause outlines the obligations and responsibilities of the Client in relation to the confidential information disclosed to them by the Service Provider. The Client shall hold all confidential information in strict confidence and shall not use, copy, distribute, or disclose any confidential information, either directly or indirectly, without the express written consent of the Service Provider. The term "confidential information" shall include any information, whether technical or business-related, that is disclosed to the Client by the Service Provider or its affiliates, subsidiaries, employees, agents, representatives, or third-party providers. The Client acknowledges that the confidential information is the property of the Service Provider, and any unauthorized use or disclosure thereof may cause irreparable harm and significant damage to the Service Provider. The Client further understands and agrees that monetary damages may not be sufficient to compensate for the unauthorized use or disclosure of confidential information. As such, injunctive or other equitable relief may be necessary to prevent any actual or threatened use or disclosure of the confidential information or any breach of this Agreement. The obligations set forth in this Confidentiality Clause shall survive the termination or expiration of this Agreement and shall continue in perpetuity.

TERMINATION

The Service Provider may terminate this Agreement with the Client for any breach of the provisions stated in this Agreement or the Service Provider's policies, without prior notice to the Client. In such an event, the Client shall not be entitled to a refund. 

WARRANTY

The Client acknowledges that the Service Provider does not provide any express or implied warranties and does not guarantee any results. The Service Provider shall not be held liable for any failure to achieve the Client's professional and learning goals. It is the sole responsibility of the Client, and not the Service Provider, to ensure the achievement of their goals through this mentorship program.

 

LIMITATION OF LIABILITY 

The Service Provider shall not be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to loss of profits, loss of business or business opportunity, loss of use, damage to goodwill, additional costs from 3rd party tools and services, arising out of or related to the services provided under this Agreement. The maximum liability of the Service Provider for any and all claims under this Agreement shall be limited to the total amount (the “Program Price”) paid by the Client to the Service Provider for the services provided. The Client agrees to indemnify and hold harmless the Service Provider from any and all claims, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising out of or related to the Client's use of the services provided under this Agreement. This limitation of liability shall apply whether or not the Service Provider has been advised of the possibility of such damages and whether such damages arise in contract, negligence, tort, under statute, in equity, at law, or otherwise

REFUND POLICY

The Client acknowledges and agrees that all sales are final and non-refundable, and therefore, waives any and all rights to charge back any purchase made under this Agreement with the Client's credit/debit card. In the event that the Client files a chargeback with their credit/debit card, and it is subsequently found that the Client is responsible for payment, the Service Provider will charge the Client a 30% fee (based on the total program price) to recoup costs from the chargeback dispute and any associated legal fees.This clause shall remain in effect for the duration of the Agreement and any subsequent renewals or extensions. If the Service Provider has offered a 30 day performance money back guarantee, then clause GUARANTEE applies.

GAURANTEE

The Client acknowledges that results may vary between individuals and for that reason there is no guarantee offered. However the Service Provider may offer a 30 day money back guarantee. This guarantee is a performance guarantee. If the Client took action and can prove to the Service Provider that they did so and still did not receive any improvements or growth in their career, the Servicer Provider has the right to decide whether to refund their money if the Client brought this matter to attention before the first 30 days of their access. The 30 day money back performance guarantee is only offered for the first 30 days. If the Client has spent longer than 30 days in the community it is assumed that they saw results and chose to continue the services being offered in the PROGRAM DELIVERABLES.

DISCLAIMER

The Client recognizes and accepts that utilizing any mentorship program provided by The Service Provider is solely at their own risk. The training program is supplied on an "as is" basis, without any warranties, either expressed or implied, encompassing but not limited to warranties for information services, coaching, continuous access, or products and services provided through or related to the program. The Client acknowledges that they have selected this program at their own discretion and bears full responsibility for their actions or inactions taken in connection with the program. The Client comprehends and acknowledges that neither The Service Provider nor any of its representatives shall be held accountable or liable for any decisions made by the Client based on the advice provided through the program. The Client assumes entire responsibility for the decisions they make during and after the mentorship program, as well as any resulting outcomes. The service provider may provide affiliate links to certain websites or services during the training program. These affiliate links may provide compensation, benefits, and bonuses to the service provider if the client decides to use them. However, the client acknowledges that the decision to use these affiliate links is solely at their own discretion. The service provider is not responsible for the content or quality of these websites or services, and any costs, risks, losses, or damages incurred from using these websites or services. The client assumes full responsibility for any actions taken as a result of using these websites or services.

DISPUTE RESOLUTION

In the event of any dispute arising out of or related to this mentorship program or the services provided herein, both parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute is still not resolved then it shall be resolved through binding arbitration in the state of Virginia. The parties agree to resolve any and all disputes arising under or related to this Agreement on an individual basis only. The client is not allowed to bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, and private attorney general actions aren't allowed. The Client hereby waives any right to a trial by jury and agrees to waive any right to participate in a class action.

TESTIMONIAL VIDEO

As a participant in the Web Prodigies Mentorship Program, you are required to provide a 5-minute to 10-minute video testimonial with a mutual agreement to post on social media platforms and the program's website to inspire other students and individuals with your progress.PU Footer
